You are reading these Terms because you are using PACIFIC ASIAN CONSORTIUM ON EMPLOYMENT d/b/a TEACH-LA’s (“TEACH-LA”) website, teach-la.com (the “Website”). TEACH-LA operates the Website and is responsible for processing your purchases, inquiries, and submissions made through our Website. You may access the Website through a computer, mobile phone, tablet, or other technology, which we refer to here as a “Device.” Your carrier’s normal rates and fees apply to your Device.

TEACH-LA offers the Website, including all information, tools and services available from therein to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. By visiting the Website, and/or requesting services from us, you agree to be bound by these Terms, including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms apply to all users of the Website, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content. By accessing or using any part of the Website, you agree to be bound by these Terms. If you do not agree to all these Terms, then you may not access the Website or use any of the services offered by TEACH-LA via the Website. If these Terms are considered an offer, acceptance is expressly limited to these Terms. Any new features or tools which are added to the current store shall also be subject to the Terms.

These Terms create a legally binding agreement between you and TEACH-LA (to which we may refer as “TEACH-LA,” “we,” “us,” or “our”) regarding your use of the Website. Our Privacy Policy describes the collection and use of personal information on the Website and applies to your use of the Website. By interacting with the Website, you agree to the terms of Privacy Policy.

Our Terms may change

We may update these Terms from time to time. If a material change is made, we will post a notice on the Website or send you a notification.   1. ELIGIBILITY. TEACH-LA is a workforce development initiative focused on preparing educators to offer educational services to children aged 18 months to 4 years old. TEACH-LA offers educational, teaching and networking opportunities for teachers, and also offers staffing services for schools. TEACH-LA’s Website is not intended for use by children. You are only eligible to use the Website if you are over eighteen (18) years of age. If you are using the Website, requesting services from us or are making a purchase from us, you represent and warrant that you are providing accurate and current information about yourself to TEACH-LA. You may not use our services or the Website for any illegal or unauthorized purpose nor may you violate any laws in your jurisdiction (including but not limited to copyright and other intellectual property laws). You must not transmit any worms or viruses or any code of a destructive nature. A breach or violation of any of the Terms will result in an immediate termination of all our services to you.

  2. RESPONSIBLE USE OF THE WEBSITE. TEACH-LA reserves the right, in its sole discretion, to determine whether you are interacting with the Website in a responsible and appropriate way in accordance with these Terms.

  3. INTELLECTUAL PROPERTY RIGHTS

    1. OWNERSHIP OF CONTENT. All of the content on our Website, including, without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, applications, interactive features, articles, news stories, sketches, animations, stickers, general artwork and other content (“Content”), is owned by TEACH-LA or others we license Content from, and is protected by copyright, trademark, patent and other laws. TEACH-LA reserves all rights not expressly described in these Terms.

      1. All trademarks, service marks and trade names are owned, registered and/or licensed by TEACH-LA. You do not acquire a license or any ownership rights to any trademarks, service marks, or trade names through your access or use of the Website or Content.

      2. You agree not to change or delete any ownership notices from materials downloaded or printed from the Website.

      3. To the extent TEACH-LA approves the download or use of any Content, which includes materials protected by copyright, TEACH-LA grants you a limited, personal, non-transferable, non-sublicensable, and revocable license to access and use such materials protected by copyright solely for their intended purpose and solely for as long as TEACH-LA makes such Content generally available to the public. You do not acquire any ownership rights in the Content (including any trademarks or other intellectual property included in the Content), and all such Content is intended for personal, non-commercial use. TEACH-LA reserves the right to monitor your use and to alter or revoke this license or your access to the Content at any time and for any reason. TEACH-LA reserves the right to take down any Content in violation of these terms or TEACH-LA’s intellectual property rights. TEACH-LA allowing you this limited use does not constitute a waiver of any of TEACH-LA’s rights to the Content.

Outside of the specific usage rights granted to you by TEACH-LA in connection with the Website, you agree not to use, copy, edit, translate, display, distribute, download, transmit, sell, create derivative works of, or in any way exploit any Content, without TEACH-LA’s prior written consent. Unauthorized use of the Content may constitute a breach of copyright, trademark or other intellectual property laws and may subject you to criminal or civil charges and penalties.

    2. LICENSE TO USE COMMENTS, FEEDBACK AND IDEAS. To the extent that you submit any comments, feedback, or ideas to us, you understand that such comments, feedback and ideas are provided on a non-confidential basis and you grant to TEACH-LA a perpetual, worldwide license to use all comments, feedback and ideas you may share with us, without notice, compensation or acknowledgement to you, for any purposes whatsoever, including, but not limited to, developing, manufacturing and marketing products and services and creating, modifying or improving products and services.

    3. NOTICES OF INFRINGEMENT. Any questions, comments, concerns or reports of intellectual property infringement related to TEACH-LA Content should be directed to TEACH-LA at info@teach-la.com.

  4. USER SUBMISSION FORMS. TEACH-LA’s Website features User Submission Forms, including the forms users can submit if they are interested in applying for teaching opportunities, and forms users can submit if they are looking to hire teachers. To the extent users submit any comments, feedback or ideas via these forms, such comments, feedback and ideas will be governed by Section 3.b of these Terms. To the extent any personal information is provided to us via User Submission Forms, the collection and use of such personal information shall be in accordance with our Privacy Policy.

  5. THIRD-PARTY CONTENT AND ACTIVITIES. From time to time, TEACH-LA may link to or partner with third-party websites, social media platforms, mobile apps, and other products and services (“Third Parties”). You may be able to connect with these Third Parties through the Website, but this does not mean TEACH-LA endorses, monitors or has any control over these Third Parties or their content or activities, which are subject to separate terms of use and privacy policies. You should carefully review any Third Party’s sites and terms of use and privacy policy. TEACH-LA is not responsible for the content, policies, or activities of Third Parties and you interact with Third Parties at your own risk.

  6. WARRANTY DISCLAIMER. THIS WEBSITE, CONTENT, AND THE INFORMATION AND/OR SERVICES MADE AVAILABLE THEREIN ARE PROVIDED “AS IS,” “AS AVAILABLE,” WITH ALL FAULTS, AND ANY THIRD-PARTY WARRANTIES, SERVICES, MAINTENANCE AND SUPPORT ARE PROVIDED BY THE ORIGINAL SUPPLIER, NOT BY TEACH-LA. TEACH-LA DOES NOT GUARANTEE THAT WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE IS FREE OF VIRUSES OR ANYTHING ELSE HARMFUL.

To the extent they do apply to you, NONE OF THE TEACH-LA PARTIES WILL BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION FOR ANY LOST PROFITS OR LOST DATA, THAT RESULT FROM, OR ARE DIRECTLY OR INDIRECTLY RELATED TO (1) THE USE OF, OR THE INABILITY TO USE, THE WEBSITE, THE CONTENT, OR ANY OTHER ACTIVITY WITH THE USE OF THE WEBSITE, (2) ATTENDANCE AT, OR PARTICIPATION IN, A TEACH-LA EVENT OR A TEACH-LA PARTNER EVENT, (3) THE CONDUCT OF OTHER USERS OF THE WEBSITE, (4) ANY ACTION TAKEN IN CONNECTION WITH AN INVESTIGATION BY TEACH-LA OR LAW ENFORCEMENT AUTHORITIES REGARDING YOUR USE OF THE WEBSITE AND/OR THE CONTENT; (5) ANY ERRORS OR OMISSIONS IN THE WEBSITE’S TECHNICAL OPERATION, EVEN IF FORESEEABLE OR EVEN IF THE TEACH-LA PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, STRICT LIABILITY TORT (INCLUDING, WITHOUT LIMITATION, WHETHER CAUSED IN WHOLE OR IN PART BY NEGLIGENCE, ACTS OF GOD, TELECOMMUNICATIONS FAILURE, OR THEFT OR DESTRUCTION OF THE WEBSITE.

    YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE WEBSITE. YOUR ONLY REMEDY AGAINST THE TEACH-LA PARTIES IN CONNECTION WITH ANY DAMAGES ARISING FROM YOUR USE OF THE WEBSITE OR ANY CONTENT IS TO STOP USING THE WEBSITE. IF ANY TEACH-LA PARTY IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH IS IN ANY WAY CONNECTED WITH YOUR USE OF THE WEBSITE OR ANY CONTENT, SUCH TEACH-LA PARTY’S LIABILITY SHALL NOT EXCEED $100.00 USD.

      1. You agree that the Website is a platform solely based in California, USA, which does not give rise to personal jurisdiction over TEACH-LA in jurisdictions other than California, USA.

      2. You agree that the Website, Terms, Privacy Policy and any dispute between you and TEACH-LA shall be governed in all respects by California law, without regard to choice of law provisions.

      3. Except where prohibited by applicable law, and without limitation to any statutory rights for consumers, you agree that all disputes, claims and legal proceedings directly or indirectly arising out of or relating to the Website, or any TEACH-LA services shall be resolved individually, without resort to any form of class action, and exclusively in the state or federal courts located in California, USA.

      4. You consent to waive all defenses of “lack of personal jurisdiction” and “inconvenient forum” with respect to venue and jurisdiction in the state and federal courts of California.

      5. All claims shall be brought within one (1) year after the claim arises, except to the extent a longer period is required by applicable law.
